Agreement on the Embedding of Audio Content for SoundNode.de

Preamble

SoundNode operates a platform under the domain SoundNode.de that provides users with centralized access to various web radio streams, podcasts, and other audio content. The audio content provider identified in the registration form (hereinafter “Content Provider”) provides one or more radio stations, podcasts, or other audio formats that are available via the Internet as streams or downloads (hereinafter “Audio Content”). Upon submission of the completed form and its confirmation by SoundNode via email, the following agreement is concluded:

§ 1 Scope of Embedding

  1. SoundNode is authorized to integrate audio content into its platform, thereby enabling users to access the original source. This includes all web-based services, mobile applications, and any partner services that access SoundNode’s infrastructure.
  2. SoundNode may use logos, trademarks, and other identifying marks of the content provider, as well as the associated URLs, to display and promote the audio content—both within the platform and in advertising and marketing materials.
  3. SoundNode is authorized to use technical methods to collect and process metadata from the audio content, provided that this does not alter or impair the content itself.
  4. SoundNode may also transfer the rights granted herein to affiliated companies or authorized partners.

§ 2 Representations by the Content Provider

The content provider warrants that it holds all necessary rights to make the audio content, logos, trademarks, and other materials provided available as agreed. It further confirms that the inclusion of such materials does not infringe on any third-party rights.

§ 3 Costs

This agreement does not incur any costs for either party. Existing obligations to copyright collection societies remain unaffected by this agreement.

§ 4 Term and Termination

This agreement is entered into for an indefinite period. Either party may terminate the contractual relationship at any time without providing a reason.

§ 5 Final Provisions

  1. The laws of the Federal Republic of Germany shall apply exclusively.
  2. The exclusive place of jurisdiction for all disputes arising from or in connection with this agreement is Frankfurt am Main.
